Welcome to NxtVault Digital. These Terms & Conditions ("Terms") govern your use of our website, services, and digital products. By accessing or using NxtVault, you agree to be bound by these Terms. If you do not agree, please do not use our platform.

1. Definitions

• "Platform" refers to the NxtVault website and all associated services
• "User" / "You" refers to any individual accessing or using the Platform
• "Products" refers to digital assets, templates, tools, software, and content available for purchase
• "PLR" refers to Private Label Rights — licensing that permits resale and rebranding
• "Seller" refers to NxtVault Digital as the vendor of listed products

2. Account Registration

• You must be at least 18 years old to create an account
• You are responsible for maintaining the confidentiality of your account credentials
• You agree to provide accurate and complete information during registration
• One account per person — multiple accounts may be terminated
• We reserve the right to suspend or terminate accounts that violate these Terms

3. Products & Licensing

3.1 PLR (Private Label Rights) Products

Products marked with PLR/Resell Rights include the following permissions:

• ✅ Resell the product as-is or modified under your own brand
• ✅ Edit, rebrand, or bundle with other products
• ✅ Use in client projects and commercial applications
• ✅ Sell on third-party platforms (Gumroad, Etsy, Shopify, etc.)
• ❌ Cannot claim to be the original creator of the underlying content
• ❌ Cannot redistribute the product for free (must be sold at a price)
• ❌ Cannot sell or share your NxtVault login or direct download links

3.2 Standard License Products

Products without PLR designation include:

• ✅ Personal and commercial use for yourself/business
• ✅ Use in client work (design deliverables, etc.)
• ❌ Cannot resell or redistribute the raw source files

3.3 Platinum Pass / Membership

• Provides access to all current and future digital products in the catalog
• Lifetime access means for the lifetime of the platform (not transferable)
• All digital products accessed via Platinum Pass / Master Pass include full PLR/Whitelabel/MRR rights
• Membership is non-transferable and tied to your registered account

3.4 AI Tools Licensing

• AI Tools provide a Commercial License for all generated copy, templates, and outputs for personal, business, and client projects.
• AI Tools themselves, their software interface, or underlying API services may NOT be resold, whitelabeled, or redistributed as a standalone SaaS service without an explicit SaaS Agency License.

4. Pricing & Payments

• All prices are listed in USD (international) and INR (India) based on your location
• Prices are subject to change without prior notice — the price at checkout is final
• Payments are processed securely via Razorpay (UPI, Cards, Netbanking for India) and PayPal (international)
• All transactions are in Indian Rupees (INR) for Razorpay and US Dollars (USD) for PayPal
• GST/Taxes: Prices are inclusive of applicable taxes unless otherwise stated
• Failed payments will not result in product access — you will not be charged

5. Delivery of Products

• All products are delivered digitally and available immediately after successful payment
• Access is provided through your "My Vault" dashboard on our website
• Download links are provided for all purchased products
• We are not responsible for download failures due to your internet connection or device
• If you face any issues accessing your products, contact support within 48 hours

6. Refund & Cancellation Policy

Please refer to our detailed Refund Policy page. In summary:

• 7-day refund window for technical issues (corrupted files, non-delivery)
• No refunds for "change of mind" after product files have been accessed/downloaded
• Platinum Pass: 7-day refund available if no products have been downloaded
• Monthly plans: Cancel anytime — no refund for partial months

7. Intellectual Property

• The NxtVault brand, logo, and website design are our exclusive intellectual property
• Product content (when purchased) is licensed to you per the license type specified
• You may not scrape, copy, or reproduce the NxtVault platform or its content without permission
• AI-generated content from our tools is licensed to you for commercial use upon generation

8. Prohibited Activities

You agree NOT to:

• Share your account login with others or allow unauthorized access
• Distribute products for free or on torrent/piracy sites
• Use automated bots or scrapers on our platform
• Attempt to bypass payment or security systems
• Use products for illegal, harmful, or defamatory purposes
• Impersonate NxtVault or claim official affiliation without authorization

9. Limitation of Liability

NxtVault provides digital products "as is" without warranty of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of our products. Our maximum liability is limited to the amount paid for the specific product in question.

We do not guarantee income, profits, or specific results from using our products. Testimonials and income examples on our platform are for illustrative purposes and represent individual results that may not be typical.

10. Governing Law & Disputes

• These Terms are governed by the laws of India
• Any disputes shall be subject to the exclusive jurisdiction of courts in Punjab, India
• We encourage resolving disputes via email communication before legal action

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes become effective upon posting on this page. Continued use of the Platform after modifications constitutes acceptance of updated Terms. We will notify registered users via email for significant changes.
